Departement of Company Law
This department, managed by Ms. Raffaella Di Carlo, attorney-at- law, provides out-of-court consulting and in-court representation in all areas of company law. It offers consulting on all the activities related to ordinary company management, from the registration to the dissolution of a company. It represents and defends company interests in all civil cases concerning company activities.
This department provides specific support in solving all problems related to companies, partnerships, foundations, cooperatives, consortiums, limited liability companies and public companies (corporations). It also assists clients in fulfilling all the official procedures related to company registration and management, including articles of association, bylaws, and non-disclosure agreements. Consulting and assistance is provided on issues concerning company management and meeting discussions. Specific activities are carried out, such as due diligences and global consulting on any issue concerning extraordinary M&A operations (takeovers, mergers, split-offs and liquidations), registration of branches of foreign companies and concentrative and cooperative joint ventures.
All members of this department are committed to providing our client companies with a customized consulting, resulting from long experience in handling cases involving national and international companies.
This department represents the management bodies of companies in civil cases, including claims concerning financial statements, shareholders meetings, directors’ liability, appeals pursuant to art. 2409 of the Italian Civil Code, and arbitration. A specific area of expertise is company restructuration and reorganization, and representation (including representation on behalf of creditors) in bankruptcy proceedings and settlements.
